Welcome to Nudgie. These Terms of Service ("Terms") govern your access to and use of the Nudgie mobile application, website, and related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service.

By using the Service, you represent and warrant that:

• You are at least 13 years of age.
• You have the legal capacity to enter into these Terms.
• You will comply with all applicable laws and regulations.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials.

You agree to:

• Provide accurate information.
• Keep your account information up to date.
• Notify us immediately of any unauthorized access to your account.

You are responsible for all activities that occur under your account.

3. The Service

Nudgie is designed to help users share lightweight messages, reactions, and other content with people they know.

We may modify, suspend, discontinue, or improve any part of the Service at any time without liability.

4. User Content

You retain ownership of the messages, images, and other content you submit through the Service ("User Content").

By submitting User Content, you grant Nudgie a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, and otherwise use such content solely as necessary to operate, maintain, improve, and provide the Service.

We do not use User Content to train artificial intelligence or machine learning models.

Nudgie does not claim ownership of your User Content.

5. Privacy

Your use of the Service is also governed by our Privacy Policy.

Please review the Privacy Policy to understand how we collect, use, and protect your information.

6. Acceptable Use

You agree not to:

• Violate any applicable law.
• Harass, threaten, or abuse others.
• Upload illegal, harmful, or fraudulent content.
• Share content that infringes another person's intellectual property or privacy rights.
• Impersonate another individual or organization.
• Send spam or unsolicited communications.
• Distribute malware, viruses, or malicious code.
• Attempt to gain unauthorized access to the Service.
• Interfere with the security or operation of the Service.
• Reverse engineer, decompile, or otherwise attempt to discover the source code of the Service except where permitted by law.

7. Reporting and Blocking

The Service may provide reporting and blocking features.

We may investigate reports of abuse or violations of these Terms.

If we determine that content or an account violates these Terms, we may remove content, restrict functionality, suspend, or terminate accounts with or without prior notice.

8. Third-Party Services

The Service may rely on third-party providers, including but not limited to:

• Apple
• Google
• Supabase
• Cloudflare

Your use of those services may also be governed by their respective terms and privacy policies.

Nudgie is not responsible for third-party services.

9. Intellectual Property

Except for User Content, all intellectual property rights in the Service, including but not limited to software, design, logos, trademarks, graphics, text, and branding, are owned by Nudgie or its licensors and are protected by applicable intellectual property laws.

No rights are granted except those expressly provided in these Terms.

10. Future Paid Features

Certain features of the Service may become paid features or subscription services in the future.

Any applicable pricing and billing terms will be presented before purchase.

11. Advertisements

The Service may display advertisements now or in the future.

The presence of advertisements does not imply endorsement of advertised products or services.

12. Suspension and Termination

You may stop using the Service or delete your account at any time.

Nudgie may suspend or terminate your account immediately, with or without notice, if:

• You violate these Terms.
• You engage in unlawful or harmful conduct.
• Your use poses a risk to other users or the Service.
• We are required to do so by law.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUDGIE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.

WE DO NOT GUARANTEE THAT THE SERVICE WILL ALWAYS BE AVAILABLE, SECURE, OR FREE FROM ERRORS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUDGIE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

15. Indemnification

You agree to indemnify and hold harmless Nudgie from any claims, liabilities, damages, losses, and expenses arising out of:

• Your use of the Service.
• Your User Content.
• Your violation of these Terms.
• Your violation of any law or the rights of another person.

16. Changes to These Terms

We may revise these Terms from time to time.

If changes are material, we will provide appropriate notice through the Service or by other reasonable means.

Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the updated Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles.
